A personal guarantee can be enforced in Mauritius when its wording covers the debt claimed and its conditions for liability have been satisfied. It does not make a director or shareholder liable for every company debt. The signed instrument, the underlying facility and later amendments must be read as one factual history.
A personal guarantee is enforceable only within its actual wording and scope
The heading is not decisive. A document may guarantee payment of a particular loan, all present and future liabilities, or performance under a named contract. Some instruments are capped. Others include interest, expenses or continuing obligations. The creditor must connect the amount demanded to the promise actually signed.
Start with the original, including schedules and incorporated terms. Check the names and legal capacities of the borrower, creditor and guarantor. A company debt remains the company’s obligation unless a separate basis creates personal liability. A dispute between owners may explain how the guarantee arose, but it does not rewrite it; related issues are covered in shareholder disputes in Mauritius.
Identifying the guaranteed debt, cap and triggering event
The account should show the principal advanced, repayments, agreed charges and credits. Compare that account with any monetary cap. A cap may apply only to principal or to the entire exposure, depending on the words used. Do not assume that the demand figure is correct because it came from a lender’s statement.
Liability may be triggered by missed payment, acceleration, termination or another defined event. The borrower’s insolvency does not necessarily create the same trigger as an ordinary default. In practice, the first real disagreement is often arithmetic: the creditor and guarantor are reading different settlement figures, dates or facilities.
Signature, authority and formal defects raised by guarantors
A guarantor may deny signing, say that a page was added later or contend that the signatory acted only for the company. Those are evidence questions. The execution page, witness details, electronic transmission, board material and surrounding correspondence can be important. A director’s title beside a signature does not settle whether the promise was corporate, personal or both.
A company’s internal authority may also be disputed where it gave security or a related guarantee. The Companies Act 2001 is relevant to company administration and director conduct, but no single corporate label answers an execution dispute. Preserve the exact version circulated for signature. Reconstructed documents invite avoidable doubt.
Demand requirements before proceedings against the guarantor
Some guarantees make a written demand a condition of liability. Others cover an existing default without using the same structure. Read the notice clause for the address, permitted delivery method and information required. A demand sent only to the borrower may not satisfy wording that calls for a separate notice to the guarantor.
The demand should identify the guarantee, the secured obligation, the event relied upon and the calculation. It should not conceal payments received after the stated balance date. If the instrument gives a cure mechanism, follow it. The distinction between this secondary promise and an independent payment undertaking is explained in disputes over on-demand guarantees.
What happens when the underlying loan or contract changes?
A changed interest basis, extended maturity, increased facility or substituted borrower may prompt an argument that the risk is no longer the one guaranteed. The answer depends on the change and the instrument. Many guarantees contain advance consent language for certain variations, but that language still has boundaries.
Place the original facility beside every amendment, renewal and waiver. Mark whether the guarantor signed, consented in another document or was merely copied on correspondence. A temporary indulgence is not necessarily a new bargain. A material alteration may raise different issues. The point should be resolved from text and evidence, not the loose statement that the loan was “restructured”.
Defences based on release, misrepresentation or creditor conduct
A written release, settlement or replacement guarantee may end or narrow liability. The wording matters again. A release of one security does not inevitably release every guarantor, and a reservation of rights may be relevant. If the creditor surrendered collateral or compromised with the borrower, the resulting defence needs careful analysis.
A guarantor who alleges misrepresentation should identify the exact statement, who made it, when it was made and why it induced signature. General disappointment with the company’s failure is not enough. Pressure, non-disclosure and alleged unfairness also require specific facts. The point most often missed is that the company’s commercial optimism and the creditor’s representation are not the same thing.
Suing the borrower, guarantor or both in Mauritius
The guarantee may permit a claim against the guarantor without exhausting recovery against the borrower, but the instrument must be checked. Joining both can expose inconsistent positions and resolve the account in one dispute. It can also add procedural and evidential complexity. The chosen defendants should reflect the pleaded obligations, not frustration alone.
Once judgement is obtained, enforcement remains a separate stage against assets legally owned by the judgement debtor. Read more about enforcing a Mauritian judgement. A creditor preparing proceedings may also need the roles explained in instructing a barrister through an attorney. Frequently asked questions
Can a bank enforce my personal guarantee in Mauritius?
A bank may seek enforcement if the guaranteed debt has fallen due and the guarantee’s conditions have been met. The bank must still prove the instrument, its scope and the sum claimed, while any defence must be assessed on the documents. This is general information; your signed guarantee requires individual advice.
Am I still liable if the company loan was changed without telling me?
Possibly, but not automatically. The result depends on the original scope, any consent to future variations, the nature of the change and its effect on the guaranteed risk. General information cannot determine whether a particular amendment released you, so the old and new facility documents should be reviewed together.
Can a creditor seize my personal assets under a company guarantee?
A valid personal guarantee can expose the guarantor to a personal money claim, followed by lawful enforcement against assets belonging to that guarantor. It does not make every asset immediately available, and ownership or third-party rights may be disputed. This is general information; advice must address the judgement and the asset concerned.
