An on-demand guarantee may require a bank to pay when the beneficiary presents a demand matching the instrument, despite a dispute under the underlying contract. That independence is powerful but not limitless. Expiry, delivery, required statements, documentary compliance and any allegation of fraud must be examined at once.
An on-demand guarantee may require payment independently of the main dispute
Construction, supply and tender arrangements often use a bank undertaking to protect the beneficiary if specified performance fails. The commercial contract explains why security was requested. The bank’s payment obligation, however, may be expressed as a separate promise triggered by documents rather than proof of breach.
This creates two disputes on different tracks. The contractor may say that work was completed or that the employer caused delay. Meanwhile, the bank may ask only whether the beneficiary presented what the guarantee demands. Starting with the merits alone can miss the immediate payment question.
Distinguishing a demand guarantee from a secondary guarantee
Labels such as “performance bond”, “bank guarantee” and “security” do not decide legal character. Read the operative promise. An independent undertaking commonly uses payment language tied to a demand or specified certificate. A secondary guarantee more closely follows the principal debtor’s liability and may require proof of default.
The whole document matters, including definitions, recitals and governing law. A phrase requiring the bank to pay “without proof” points in one direction, while wording conditional on established breach may point in another. Classification affects both the beneficiary’s burden and the applicant’s grounds for resistance. It should be settled before correspondence adopts a position that cannot later be reconciled with the text.
Reading the demand wording, expiry and required documents strictly
Check the beneficiary name, guarantee number, maximum amount, currency and place for presentation. Record the expiry by reference to the instrument itself. If extension language applies, identify who may invoke it and how. A demand arriving after expiry cannot be repaired by proving that the underlying breach happened earlier.
Some instruments require a signed declaration of default, a certificate or reference to a contractual clause. Others ask for little beyond a written demand. Delivery to a relationship manager may not equal presentation at the named branch or electronic address. In practice, many urgent disputes turn on one page and one timestamp.
Fraud and other narrow grounds for resisting payment
An allegation of fraud is serious and must be supported by particular facts. A disputed valuation, contested delay or arguable contractual interpretation is not automatically fraud. The applicant should identify the representation said to be knowingly false, the person responsible and the material showing the bank or beneficiary knew the true position.
Courts approach attempts to restrain an independent payment cautiously because the instrument was chosen to allocate immediate risk. Other objections may arise from the guarantee itself, illegality or clear non-compliance, depending on the facts and applicable law. A party should not assume that unfairness in the main contract supplies a free-standing reason to stop the bank.
What happens when the beneficiary’s demand is defective?
The bank compares the presentation with the guarantee. A missing required statement, wrong signatory or demand above the available amount may lead to rejection. The beneficiary should obtain the bank’s stated reasons and consider whether a corrected demand can still be made before expiry. Silence wastes the narrow window.
The applicant should preserve the exact demand delivered, not a later draft supplied by the beneficiary. The bank’s receipt record, attachments and transmission header may resolve what was actually presented. Defect and fraud are distinct. A demand can be honest yet non-compliant, or formally compliant while a separate fraud allegation is advanced.
Urgent injunctions before the bank honours the demand
Speed matters. Once payment occurs, an application to prevent payment may no longer offer the same practical relief. Obtain the guarantee, demand, bank communications and the strongest underlying documents immediately. The court must be given evidence, not a compressed commercial grievance.
Any application must also consider notice, the parties to be bound and the undertaking or conditions the court may require. The bank and beneficiary may have little time to respond. An adverse decision may itself require prompt analysis; the general route is discussed in appeals in Mauritius. That link is not a substitute for checking the remedy available from the particular order.
Preserving rights under the underlying construction or supply contract
Payment under the guarantee does not necessarily decide who finally bears the loss. Keep notices of delay, variation instructions, certificates, delivery evidence and the contractual claims procedure moving. If the main contract contains an arbitration clause, the parties may still have to resolve breach and reimbursement there; see arbitration in Mauritius.
Directors deciding whether to demand, resist or settle should record the commercial basis and any conflict. The guide to directors’ duties addresses that separate governance question. Where control of the beneficiary has become contested, minority shareholder remedies may also be relevant. The civil and commercial practice covers urgent contract and security disputes.
Frequently asked questions
Can I stop a bank paying an on-demand guarantee in Mauritius?
Only in limited circumstances, and the timing is demanding because the bank may be required to act promptly on a complying demand. A party seeking restraint must identify a proper legal ground and place clear evidence before the court. This is general information; urgent advice is needed on the instrument and demand actually presented.
What makes a demand under a performance guarantee invalid?
A demand may fail if it misses the expiry, uses the wrong delivery channel, omits a required declaration or document, or seeks more than the instrument permits. Minor errors do not have one universal consequence; the guarantee’s exact words control. General information cannot establish whether your demand complies.
Is an on-demand guarantee separate from the underlying contract dispute?
It may be. A genuinely independent guarantee can require payment on a conforming demand even while liability under the construction or supply contract remains contested. That is a general distinction, not advice on classification; the text and transaction documents must be examined.
