Employee confidentiality in Mauritius concerns information received through the employment relationship which is not properly available for personal use or disclosure. A written clause makes the boundaries easier to see, but its absence does not turn every internal file into the employee’s property. The classification, use and evidence matter.
Employees may owe confidentiality duties even without a detailed clause
An employment contract may contain only a short promise not to disclose business information. Some contracts say nothing. That does not make deliberate copying harmless. The employer may still rely on the nature of the information, the circumstances in which it was supplied and the employee’s duties.
The boundary is not limitless. An employer cannot label ordinary experience or publicly available facts “confidential” and assume the label decides the dispute. Nor should an employee treat access permission as permission to take material for a later venture.
Read the confidentiality term beside the job description and technology policies. The Mauritius employment contract guide explains where information duties belong in the wider agreement. Later policies may help, provided the employee received them and they do not contradict the contract.
What counts as confidential information rather than general know-how?
Confidential information is identified by content and treatment. Current pricing strategy, unpublished margins, security credentials and a negotiated proposal may warrant protection. A skill learned on the job, a remembered industry method or information published on the company website usually presents a different question.
Ask how widely the material circulated. Password controls, limited distribution and confidentiality markings support the employer’s account, though none is decisive alone. Information emailed without restriction to a large outside group is harder to characterise as closely held.
Age matters. A sales forecast can lose sensitivity after the relevant period. Source code or a manufacturing method may retain value much longer. In practice, the dispute sharpens once the employer identifies the exact document, field or communication rather than invoking “all company information”.
Contract wording for client lists, source code and commercial plans
Different assets need different wording. A client clause can cover contact details, buying history, negotiated terms and prospective customers with whom the employee had material dealings. It should distinguish the employer’s organised records from names found in public directories.
Source-code language can address repositories, credentials, architecture notes and development branches. It should also recognise third-party or open-source components. A commercial-plans clause may specify unpublished budgets, launch dates, tender strategy and acquisition discussions.
Return and deletion obligations are useful, but they should be workable. Backups, archived mail and legally retained records may not vanish through a single command. The contract can require disclosure of copies and reasonable cooperation. Restrictions on competitive work are considered separately in the garden leave guide.
Data Protection Act 2017 duties when employee files contain personal data
A client list or personnel file can contain personal data as well as confidential business information. The Data Protection Act 2017 governs the processing of personal data within its scope. The Data Protection Office is the public office established under that Act, which commenced on 15 January 2018.
An employer investigating copying must therefore consider more than ownership. Collection, review, retention and disclosure of employee emails or device contents can involve personal data. Access should be limited to a defined purpose and to people who need the material.
The same point applies to the departing employee. Sending a database to a personal account creates a fresh copy outside the employer’s controls. It may expose customer, supplier or colleague data. The fact that the employee originally entered those details does not settle lawful later use.
What happens when documents are emailed or copied before resignation?
Context distinguishes an innocent working copy from preparation for misuse. Examine what was transferred, its volume, timing, destination and the explanation given. A single document sent for authorised remote work is not the same as a full export made after accepting a competing role.
The employer should contain the risk without destroying evidence. Suspend credentials where justified, preserve logs and issue a focused request identifying the material. Avoid public accusations. A mistaken allegation can deepen the employment dispute and spread the information further.
The employee should stop using the files and obtain advice. Do not edit timestamps or wipe a device after receiving a preservation request. If personal documents are mixed with company material, identify them specifically and propose a controlled separation.
Preserving devices, access logs and messages for a confidentiality dispute
Preservation begins with the systems that recorded the event. Email audit logs, cloud-download history, repository activity and removable-media records may show what occurred. Record the time zone and the account attached to each event. Shared credentials weaken conclusions about identity.
A company laptop should be secured in its current state. Routine reimaging can remove useful evidence. Any technical examination should have a defined scope, with a record of who handled the device. Personal material found during that work should not circulate merely because it was accessible.
Messages need context. Preserve the whole relevant exchange rather than one dramatic line. Guidance on presenting disputed material appears in the guide to Mauritius courts. Its general description does not replace advice on admissibility in a particular claim.
Urgent and final remedies for misuse of employer information
An employer may seek undertakings for return, deletion, non-use and disclosure of recipients. Where the risk is immediate, an application for interim court relief may be considered. The evidence must connect the information, the duty and the threatened or actual use.
Final relief may include orders addressing continued use and a monetary claim where loss can be proved. The route and remedy depend on the pleaded legal basis. A confidentiality case should not become an unsupported demand to prevent all lawful competition.
Workers, including foreign workers, retain rights while an investigation proceeds. The migrant worker rights guide addresses that wider setting. The employment and workers’ rights practice covers advice on disciplinary and court aspects of information disputes.
Frequently asked questions
Can I take my client contacts when I leave a job in Mauritius?
Personal relationships do not automatically make the employer’s client records yours to copy. Consider how the contacts were compiled, what the contract says and whether the list contains confidential or personal data. Advice on the actual list is needed before using it after departure.
What can an employer do if a worker sends confidential files to a personal email?
The employer can preserve the relevant logs, secure lawful access and ask for return, deletion and an explanation. Disciplinary action or court relief may be considered after the facts and contract are assessed. Specific advice should precede device searches, dismissal or an urgent application.
Does a confidentiality clause in Mauritius continue after employment ends?
A clause may expressly continue after termination, particularly for defined confidential information. Its effect still depends on wording, the information and the circumstances of use. A lawyer must review the clause and material before advising on an alleged breach.
