The Commercial Division is a division of the Supreme Court of Mauritius with original jurisdiction over defined business matters. Its statutory remit includes cases under the Companies Act and Insolvency Act, specified fields such as banking and intellectual property, and contractual matters directed to it. A commercial setting alone does not settle jurisdiction.
The Commercial Division deals with qualifying business disputes in the Supreme Court
The Courts Act establishes the Commercial Division within the Supreme Court. It places Companies Act and Insolvency Act matters there, together with banking, bills of exchange, offshore business, patents, trademarks and passing off. Contractual matters may also be heard there as directed by the Chief Justice.
This is original jurisdiction. The Division hears and determines the claim rather than reviewing a decision simply because a business is involved. The wider position of the Division is shown in the overview of the Mauritian legal system.
Classification has consequences. It affects the originating process, filing route and case management. The pleading should reveal why the case belongs in this Division rather than rely on a “commercial dispute” label.
Which claims belong in the Commercial Division?
A shareholder remedy under the Companies Act, an insolvency application or a banking dispute may fit the express statutory categories. A contractual claim may also belong, subject to the direction and jurisdictional framework. Patent, trademark and passing-off matters are named in the Courts Act.
An unpaid invoice is not automatically enough. The amount claimed, contractual parties, legal basis and relief all matter. A dispute might instead fall within another court’s monetary or subject-matter jurisdiction, an agreed arbitration clause, or a specialist statutory process.
Company records can also disclose a different case from the one first described. What sounds like a director’s personal debt may be a claim by the company. What sounds like non-payment may turn on defective performance, set-off or a disputed variation.
Starting proceedings through an attorney and barrister
Civil litigation in the Supreme Court ordinarily involves an attorney who conducts procedure and files through the applicable system. The barrister advises on the legal case, settles or drafts the pleading as appropriate, and argues the matter. Both professions advise and draft within their respective roles.
The Commercial Division operates an e-Judiciary filing and case-management system for registered users. Official notices identify pleadings such as affidavits, pleas, demands for particulars and answers to particulars as documents managed within that system. A client should not attempt to select an online form without the legal claim having been settled.
The division of work is explained further in the guide to Mauritius legal practitioners. Service on the defendant and proof of that service remain part of starting the case properly.
Contracts, company records and accounts needed at the outset
Bring the signed contract and every document incorporated into it. Purchase orders, delivery records, variations, acceptance certificates and termination notices can change the analysis. If the contract was agreed through email or several counterparts, preserve the complete chain.
A company dispute may require the constitution, share register, board minutes, resolutions and filings from the Corporate and Business Registration Department. Management accounts and bank records must be connected to the pleaded transaction. A spreadsheet created for litigation is not a substitute for source invoices and statements.
- identify each legal entity by its registered name and number;
- match each payment to an invoice, statement or contract term;
- retain notices with proof of dispatch and receipt; and
- separate privileged legal advice from ordinary business correspondence.
In practice, delay often sits in corporate identity and authority. A trading name, subsidiary and parent company may appear across the same file, but only the correct party can sue or be sued on the obligation.
Case management, interim applications and preparation for trial
After the originating papers and response, the court may have to resolve particulars, amendments, document production, witness issues and other preparatory questions. The e-Judiciary system supports procedural filings, but electronic submission does not decide admissibility or relevance.
An interim application may seek to preserve the position pending judgment. The requested order must be legally available, supported by affidavit evidence and framed with precision. Urgency may affect listing, not the applicant’s obligation to present material facts fairly.
Trial preparation should join witnesses to documents. Identify who negotiated, signed, performed, complained and calculated the alleged loss. The possibility of court-connected settlement can also be considered through the Mediation Division of the Supreme Court.
What happens when jurisdiction or forum is disputed?
A defendant may say the wrong court or division was chosen, that an arbitration clause applies, or that another country is the proper forum. That objection should be addressed before extensive work is done on the merits. The contract, governing-law clause and dispute-resolution clause must be read together.
Division and jurisdiction are not identical questions. Allocation within the Supreme Court does not create power the court otherwise lacks. Conversely, a procedural dispute about the correct list does not necessarily dispose of the underlying right.
The point most often missed is waiver by conduct. A party should obtain advice before taking a procedural step that may sit uneasily with its proposed forum objection. No universal answer can be given without the pleadings and clause.
Enforcement and appeal after a commercial judgment
A judgment identifies rights and orders relief. Payment or compliance may still have to be secured through an enforcement process appropriate to the debtor and asset. Company insolvency should not be treated as a routine substitute for enforcing a genuinely disputed debt.
A party considering appeal should obtain the sealed judgment and reasons at once. Appeals from the Supreme Court exercising original civil jurisdiction are dealt with through the Court of Civil Appeal, subject to the applicable law and procedure. The route, time limit and any request concerning execution must be checked for that decision.
An urgent issue before or after the main claim may involve the Judge in Chambers. For substantive advice on a business dispute, see the chambers’ civil and commercial practice.
Frequently asked questions
Can an unpaid business debt be filed in the Commercial Division in Mauritius?
A contractual business debt may fall within the Commercial Division, but the correct forum also depends on jurisdiction, the parties, the relief and any contractual dispute clause. The documents should be assessed before filing. This is general information; advice on your debt requires review of the contract and proposed claim.
Does every company dispute go to the Supreme Court's Commercial Division?
No. The presence of a company does not by itself decide the forum, and some disputes belong before another court, tribunal or agreed arbitral forum. This is general information; the cause of action and remedy in the particular dispute must be classified first.
Can the Commercial Division grant an urgent injunction?
The Supreme Court may grant interim relief where the legal and procedural requirements for the requested order are met. Urgency does not remove the need for evidence, proper relief and fair procedure. This is general information; the prospects and correct route depend on the threatened act and the supporting record.
