Private company shares remain registered in the shareholder’s name during a Mauritius divorce unless a valid transfer occurs. The financial inquiry is wider. It examines how the interest was acquired, what rights it carries, what it is worth and whether a transfer is legally and commercially workable.
Shares belong to the registered holder, but divorce requires a wider inquiry
The register of members identifies the legal shareholder. It should be checked against certificates, allotment records and any transfer deed. An informal family understanding that both spouses “own the business” cannot replace those records, though evidence of funding or an alleged beneficial arrangement may still require legal analysis.
Mauritian company law is set by the Companies Act 2001. The Code Civil Mauricien, the marriage documents and the facts of acquisition inform the matrimonial analysis. Keeping those inquiries separate prevents the company from being treated as if it were merely a joint bank account.
The matrimonial regime and source of funds shape the financial analysis
The marriage certificate and any contract made before a notary are essential. Communauté de biens means community of property, while séparation de biens means separation of property. The applicable regime must be established from the documents and circumstances, not guessed from the wedding date. Pensions require a separate analysis, addressed in the guide to pensions and assets in a Mauritius divorce.
Trace the subscription or purchase price. Bank evidence may show that shares registered to one spouse were funded from an account used by both, inherited money or a pre-marriage holding. Later capital injections and personal sureties can be just as significant as the original acquisition. Where funds passed through more than one account or currency, a simple chronological schedule showing source, transfer and receipt is usually more persuasive than a narrative account prepared after the event.
Constitution, shareholder agreement and register entries to obtain
Start with the current constitution, register of members, share certificates, annual returns and records of allotments or transfers. Add the shareholders’ agreement, board and shareholder minutes, dividend records and any option, pledge or security over the shares. The Corporate and Business Registration Department can provide company-file material, but private agreements may only be held by the company or its shareholders.
Compare the constitution against any amendments and confirm which version currently governs, since an outdated copy may omit a later pre-emption clause or drag-along right. Board minutes approving a transfer, a waiver or a valuation formula can matter as much as the constitution itself when the dispute concerns what the shareholders actually agreed.
Valuing minority interests, transfer restrictions and shareholder loans
A minority parcel may be worth less per share than a controlling parcel because it cannot direct dividends, appointments or a sale. That does not make it worthless. The valuer must examine actual rights, the distribution history and any realistic route to liquidity before applying a discount.
Transfer restrictions can depress marketability, yet they may also prescribe a price or buyer. The expert should not assume that a hypothetical open-market sale is available when existing shareholders have first refusal. Nor should a contractual formula be treated as the answer to every matrimonial question without legal review.
Shareholder loans sit outside the share capital. A spouse may own low-value shares but hold a sizeable debt claim against the company, or owe money through a director’s account. The valuation schedule should show equity, loans and personal sureties on separate lines.
What happens when the other shareholders resist disclosure or transfer?
Other shareholders are not automatically parties to the divorce. Their commercial information and contractual rights remain relevant. A disclosure request should identify the record needed and explain why less sensitive material will not answer the valuation question.
A proposed transfer also needs corporate due diligence. Consent, pre-emption and registration requirements may apply, and the transferee may need to join an existing agreement. The structure of the Mauritian courts gives useful context if a company dispute develops alongside the family matter.
Dividends, director pay and benefits taken through the company
Share value is only part of the financial picture. Obtain dividend vouchers, director remuneration records, pension contributions and benefits such as vehicles, housing or insurance. A low salary may be paired with significant distributions, while a high salary may include payment for real executive work. A comparison across several years is usually more reliable than a single year, since a company may time a distribution or a bonus to coincide with, or to avoid, the period under review.
Do not count the same value twice. Capitalising profit in the share valuation and then treating retained profit as immediately distributable to the spouse can overstate the available resource. Expert instructions should require a clear reconciliation.
Sale, transfer or offset against other matrimonial assets
Each option needs a net figure. Tax, transaction costs, debt repayment and the release of personal sureties can materially alter what either spouse receives. Foreign holdings add recognition and enforcement questions addressed in the guide to offshore assets in a Mauritius divorce. A guarantee given to a lender in support of company borrowing should be traced separately, since releasing it may matter to the paying spouse as much as the headline sum received.
If payment is deferred, record instalments, interest if agreed, security and the events that accelerate payment. A headline buyout figure without these terms is not a complete settlement mechanism.
Protecting the company while the spouses negotiate or litigate
Preserve the books and electronic records. Avoid unusual dividends, new related-party loans or asset transfers without proper approval and a commercial explanation. The point most often missed is that steps taken to exert pressure in divorce may expose directors and shareholders to separate company-law consequences.
Child arrangements must remain apart from shareholder pressure. International child issues have their own statutory and court framework, described in the guide to international child abduction and Mauritius. The company negotiation should stay focused on control, information and value.
Frequently asked questions
Are company shares split in a Mauritius divorce?
There is no sound rule that every shareholding is simply divided in half. Registration, the matrimonial regime, acquisition history, funding and other available assets all matter, while the company’s own rules may restrict a transfer. This is general information; advice on the marriage documents and company records is required before proposing a division.
Can a divorce court force me to transfer shares in a private company?
The available orders depend on the legal claim, the parties before the court and the governing company documents. A proposed transfer cannot sensibly ignore pre-emption rights, required approvals or the position of other shareholders. Specific Mauritian advice is needed on the relief that could be sought in your proceedings.
What happens to a shareholders’ agreement when two shareholders divorce?
Divorce does not by itself erase a shareholders’ agreement. Its transfer, valuation, deadlock, confidentiality and compulsory-sale clauses may become central if both spouses are shareholders. The agreement and constitution must be reviewed together, and this general answer is not advice on the enforceability of a particular clause.
