A Mauritius PDS reservation agreement records a buyer's proposed unit, price and deposit before the final notarial sale. It can impose real obligations even though construction, EDB authorisation or finance remains outstanding. Read it as a contract. A booking label does not make it harmless.

A PDS reservation is a binding risk point

The Property Development Scheme is governed by the Economic Development Board (Property Development Scheme) Regulations 2015. The EDB's current guidance permits approved PDS residential property to be sold completed, on plan or during construction. Where the sale is off-plan, the later notarial structure may be a vente en l'état futur d'achèvement, or VEFA, under which ownership and payment develop with the works.

The reservation comes earlier. Its function may be to remove a unit from the market and provide material for the purchaser's EDB application. Its wording can also define when a deposit is retained, which documents form the bargain and how long the purchaser must wait. Those are substantive rights.

Do not assume the final deed will repair an unfavourable reservation. By then the deposit may have been paid and the commercial pressure increased. The guide to the Mauritian legal system explains the different roles of contract, notarial work and later litigation.

Confirming the project and unit before reserving

Ask for the PDS certificate or current project approval material and verify the developer named in it. The contracting seller, landowner and approved PDS company may not be described identically. The reservation should explain the relationship rather than leaving the buyer to infer authority from a brochure.

The unit needs a precise identifier, plan, floor or plot position, internal area and attached rights. Parking, storage, garden use and access to shared facilities should not sit only in an agent's message. Compare the reservation plan with the plan intended for the notarial deed.

Check the state of project permissions and the programme for infrastructure and amenities. Approval of a PDS project does not mean that every advertised facility already exists. The reservation should distinguish an existing feature, a contractual promise and an artist's impression.

Price, deposit and withdrawal clauses to examine

The price clause should identify the currency, taxes or duties allocated to the buyer, permitted adjustments and any items sold separately. For a foreign purchaser, the transfer route must also align with current EDB rules and the notary's requirements. Avoid paying to an account whose holder is not explained in the agreement.

Find who receives the deposit and in what capacity. Money held by a notary or stakeholder under stated release conditions is not the same as money immediately available to the promoter. The agreement should say when release occurs, whether interest arises, and what documentary evidence supports a deduction.

Articles 1601-38 to 1601-45 of the Code Civil Mauricien provide for a preliminary contract, the contrat préliminaire, and, according to the EDB's guidance, the reservation agreement is governed by article 1601-38. The articles limit the deposit by reference to the forecast price and the period set for concluding the sale, and require a special account with a bank or a notary. They also list the cases in which the deposit is returned without retention or penalty.

Withdrawal provisions need equal attention. Some clauses distinguish a buyer's change of mind from failure of an approval condition. Others impose a short notice mechanism or claim an administrative charge.

Plans, specifications and promised amenities as contract documents

Attach the plan and written specification to the signed reservation, with a date or version number. The specification should identify finishes, sanitary fittings, services, climate systems and any furniture package included in the price. Marketing words such as “premium” offer no measurable standard by themselves.

Read the developer's power to vary. A practical construction clause may allow changes required by an authority or technically equivalent substitutions. A broad clause allowing any alteration can weaken the buyer's position on area, outlook or materials. Ask how a material change affects price, withdrawal and consent.

Shared amenities deserve dates and responsibility. A pool, road, clubhouse or security system may serve several construction phases. State whether use depends on later phases and who bears operating costs. For protection after the reservation stage, see off-plan completion security in Mauritius.

What happens if approval or finance is refused?

EDB authorisation should be an express condition where the purchaser needs it. The clause should identify who submits the application, which buyer documents are required, and what happens after a refusal or request that cannot reasonably be satisfied. Silence creates room for each party to blame the other.

A finance condition needs comparable precision. It should identify the relevant application, any objective limit on the buyer's duty to seek lending and the evidence needed if finance is declined. Where the reservation is a preliminary contract that provides for a loan, failure to obtain the loan is one of the cases of return listed in article 1601-45 of the Code. A clause saying only “subject to finance” may not have that effect.

Personal relocation plans should stay separate from the property's approval mechanics. A residence application, school move or family arrangement may fail on its own facts while the purchase contract continues. Parents moving across borders should also treat cross-border child custody questions as a distinct legal issue, not an assumed consequence of buying a home.

Independent review before the reservation payment

A notary can advise on and draft the property instruments, test the title path and relate the reservation to the intended deed. A barrister can advise on legal risk, draft the necessary submissions and litigate disputed clauses and remedies. If proceedings become necessary, an attorney also advises, drafts pleadings and conducts procedure, filing and service.

Provide the reviewer with the actual reservation, project approval material, unit plan, specification, payment request and every document incorporated by reference. Forward the advertisement only where a promise in it influenced the decision. A promise cannot safely be enforced as a contract term if the signed documents leave it outside the bargain.

The legal guide to living in Mauritius addresses the residence and family matters surrounding a move. The expat legal matters hub brings those issues together. Neither should delay review of a reservation carrying an immediate payment date.

Frequently asked questions

Can I get my PDS reservation deposit back in Mauritius?

Where the reservation is a preliminary contract, articles 1601-38 to 1601-45 of the Code Civil Mauricien require the deposit to be returned on request, without retention or penalty, in the cases they list, within three months. Refusal of EDB approval is not named among them. This is general information; obtain advice on the signed wording and payment trail before demanding or conceding repayment.

Should a notary review my PDS reservation agreement before I sign?

Yes, early notarial review can identify whether the unit, project, payment route and future deed are described consistently. Separate legal advice may be appropriate where the reservation allocates unusual risk or a dispute is emerging. This is general information; the right reviewer and scope depend on the document and your circumstances.

What if the finished PDS unit differs from the sales plan?

Compare the completed unit with the plans, specifications and permitted variation clauses that became contract documents. Record the difference before acceptance or the final payment and follow the contractual notice process. This is general information; whether the change supports rectification, retention, damages or another remedy requires advice on the deed and evidence.
