Drafting an arbitration clause for a Mauritius contract

An arbitration clause for a Mauritius contract should identify which disputes go to arbitration and provide a workable method for forming the tribunal. It should also fix the juridical seat, procedural rules, number of arbitrators and language. Those choices determine who decides the dispute, how the case begins and which court may supervise or support the process.

A workable arbitration clause must produce a tribunal and an enforceable award

Agreement is the foundation. A clause should use mandatory language and cover disputes arising from the contract, including its existence, validity, performance and termination where intended. A vague promise to “consider arbitration” may leave the parties arguing about consent before any tribunal can address the commercial claim.

The clause also needs machinery. Institutional rules can supply notice, appointment and procedural provisions. An ad hoc clause must provide or incorporate an adequate framework. Draft with the eventual award in mind. The asset country’s recognition rules, the identity of every contracting party and the written record of consent all matter.

Choosing the seat separately from the hearing venue

The seat is the arbitration’s legal home. It connects the proceeding to an arbitration law and supervisory court, and it affects challenges to the award. The room used for a witness hearing is only a physical venue. Parties can choose Mauritius as the seat even if a hearing occurs by video or in another country.

For international arbitration seated in Mauritius, the International Arbitration Act 2008 supplies the statutory framework. Its scheme is based on the UNCITRAL Model Law. The Supreme Court has defined supporting and supervisory functions under that Act. These consequences are too substantial to leave the seat to an address in the notices clause.

Institutional or ad hoc procedure for a Mauritius contract

Institutional arbitration places administration under named rules and an organisation’s secretariat. The Mauritius International Arbitration Centre publishes MIAC Arbitration Rules 2018 and a model clause. Those rules address tribunal formation and name the Secretary-General of the Permanent Court of Arbitration as appointing authority. If MIAC is intended, use its current institutional name and model wording.

Ad hoc arbitration can give the parties more procedural control, but somebody must still resolve an appointment deadlock and administer communications or funds. Incorporating established rules may answer those gaps. Do not combine several institutions or say that one centre will administer another centre’s rules unless the arrangement has been confirmed.

Tribunal appointment, language and number of arbitrators

State whether there will be one arbitrator or an odd-numbered panel, and identify the appointment route. Proportionality matters. A three-member tribunal may suit a high-value, technically divided dispute, while a sole arbitrator may reduce appointment complexity. The clause should not require qualifications so narrow that no eligible candidate can be found.

Language affects pleadings, evidence, hearings and the award. Pick one that the contract record and likely witnesses can support. If key documents are in French and the arbitration language is English, budget for translation and decide how originals will be treated. In practice, bilingual schedules are often noticed only after document production begins.

What happens when related contracts contain inconsistent clauses?

A project may involve a supply contract, shareholder agreement, loan, security instrument and personal undertaking. If one sends disputes to Mauritian courts, another to arbitration seated abroad and a third says nothing, a single commercial failure can generate several proceedings. Copying a clause without reading the other documents is unsafe.

Map the parties and claims across the full transaction. Consider whether joinder or consolidation is available under the selected rules, and whether every necessary person has accepted compatible wording. This is especially relevant to shareholder disputes in Mauritius, where corporate and personal documents may overlap.

Carving out urgent court relief without undermining arbitration

A focused clause can state that seeking permitted interim relief from a competent court does not waive arbitration. Under the International Arbitration Act 2008, the Supreme Court may issue interim measures supporting an international arbitration, including one with a foreign seat. The power is controlled and is meant to support, not disrupt, the arbitral process.

A broad carve-out allowing either party to bring any claim in court can swallow the arbitration promise. Limit the wording to measures genuinely needed before the tribunal can act effectively or to enforce an interim decision where the law permits. The separate guide on interim relief for Mauritius arbitration explains the court and tribunal sequence.

A drafting review before the commercial agreement is executed

Read the final clause aloud as a set of instructions. Can the claimant identify where to send the notice, which rules apply, who appoints, how many arbitrators sit, what language is used and where the legal seat lies? If any answer depends on agreement after the relationship has failed, the clause contains avoidable risk.

Then compare governing law, jurisdiction, service and confidentiality provisions. Check corporate names and signature authority. The division between barristers, attorneys-at-law and notaries may also affect how a Mauritian transaction and later proceedings are handled; see the guide to Mauritius legal practitioners. An award may ultimately need court recognition, addressed in the guide to enforcing a judgment in Mauritius.

Frequently asked questions

What should an arbitration clause in a Mauritius contract include?

State the disputes covered, the arbitral rules or procedure, the juridical seat, the number and appointment method of arbitrators, and the language. Check governing law, related contracts and any court-relief wording at the same time. This is general information; advice depends on the transaction and the parties who must be bound.

Is the seat of arbitration the same as where hearings take place?

No. The seat is the arbitration’s legal home and connects it to a supervisory court and arbitration law. Hearings may take place elsewhere if the chosen rules and tribunal permit. This is general information; advice should confirm the intended legal seat expressly in the signed clause.

Can I still seek an injunction if my contract requires arbitration?

Potentially. The International Arbitration Act 2008 gives the Supreme Court powers to issue interim measures in support of an international arbitration, subject to statutory limits. This is general information; advice requires the clause, seat, urgency, tribunal status and proposed order to be examined.
