A business should consider commercial mediation in Mauritius when a negotiated result can protect value that a court judgment cannot. That may be a supply relationship, a staged exit, revised payment terms or control over publicity. Mediation is not surrender. It is a structured attempt to settle, undertaken with a clear view of the legal claim and the cost of continuing it.
Mediation works when business interests matter beyond the pleaded claim
A court decides the legal issues put before it. A mediator can help the parties discuss a wider commercial arrangement, provided both sides consent. A distributor and supplier may disagree about past invoices yet still need stock, territory and warranty arrangements for the next quarter. Damages alone may not solve that problem.
Commercial mediation also gives principals room to test proposals without immediately committing to them. That matters where an admission could affect an insurer, lender or related company. The legal merits still matter. They set the range within which a sensible bargain may be made.
Under the Supreme Court (Mediation) Rules 2010, a party to a pending civil matter may apply to the Chief Justice to refer the case to the Supreme Court's Mediation Division, where a designated mediation judge helps the parties reach agreement or narrow the issues. Private mediation outside proceedings is different, so the parties should state the mediator's mandate in writing.
Disputes suited to mediation and those needing an urgent order
Fee disputes, unpaid accounts, defective performance, shareholder exits and disagreements about continuing contracts may suit mediation. The shared feature is room for exchange. One party may accept time to pay if security is given. Another may accept a price adjustment if performance resumes under measurable conditions.
Urgency changes the order of work. Mediation should not postpone action needed to preserve property, evidence or confidential information. If assets may disappear or conduct must be stopped, advice on an injunction or interim order in Mauritius may come first. A proposal to mediate can follow without abandoning the protective application.
Check the contract as well. A dispute-resolution clause may prescribe negotiation, mediation, arbitration or court proceedings in a stated sequence. Cross-border clauses need particular care, as explained in the guide to contracts involving a foreign party. Limitation, contractual notice and termination rights continue to run unless lawfully suspended.
Choosing the mediator, attendees and decision-makers
The mediator should be independent and able to understand the dispute without becoming a substitute expert. Relevant experience may concern construction accounts, company governance, technology delivery or another commercial setting. Availability matters, but confidence in the process matters more.
Attendance should match authority. A manager who can explain events but cannot approve any proposal leaves the real negotiation outside the room. Each side should identify who may settle, what internal approval is needed and how an absent board or insurer can be reached. Authority can be limited. It must not be ambiguous.
Counsel's role is to protect the legal position, test language and keep the decision with the client. For readers unfamiliar with the division of work, instructing a barrister through an attorney explains how advice, drafting, filing and litigation are organised in Mauritius.
Position papers, contracts and financial material to exchange
A useful position paper identifies the agreement, the breach alleged, the remedy sought and the commercial obstacle to settlement. It should separate agreed facts from contested ones. Attach only the documents needed to understand those points. A document dump makes the important invoice or variation harder to see.
Financial disclosure should answer a settlement question. If a company seeks instalments, current cash-flow material and information about available security may be necessary. If lost profit is claimed, the calculation and supporting records should be intelligible. Confidential business material can be limited to named recipients under the mediation protocol.
In practice, the most useful preparation is a realistic authority note. It records the proposal the representative may accept, matters requiring a telephone approval and terms that cannot be conceded. That note is not exchanged. It prevents a promising agreement from failing late in the day because the wrong person attended.
What happens during a confidential commercial mediation?
The mediator usually begins by confirming the process, authority and ground rules. Parties may meet together, separately, or in both formats. The mediator does not impose a judgment. Proposals remain proposals until the authorised parties record an agreement in binding form.
Confidentiality needs careful wording. The mediation agreement should address communications, documents created for the process and private meetings with the mediator. It should also preserve necessary exceptions for legal duties, regulators, insurers, professional advisers and enforcement of a settlement. Calling a meeting “without prejudice” is not a complete protocol.
If mediation before the Mediation Division does not dispose of a referred civil matter, the case returns to the ordinary court timetable for trial. A private mediation may likewise end without settlement. The parties should know beforehand what happens to exchanged originals, unsigned drafts and any procedural timetable.
Recording settlement terms so they can be performed
Heads of terms signed under pressure can create a second dispute. The document should identify the parties correctly and state whether it is immediately binding. Payment amounts, dates, bank details, tax treatment, delivery steps, releases and confidentiality obligations should be expressed in operational language.
Conditional obligations need an order. If one party must transfer shares before the other pays, the sequence, documents, signatories and consequence of non-performance should be clear. Any promised third-party security should be completed in the required form, not left as an intention to agree later.
Where proceedings exist, counsel should decide whether the settlement is recorded privately, placed before the court or embodied in an appropriate order. The right form depends on the case. The point most often missed is default. Interest, acceleration, notice and enforcement wording must be settled while cooperation still exists.
Comparing the cost and disruption of mediation with continued litigation
Mediation requires the mediator's time, preparation by advisers and the attendance of senior staff. Litigation requires pleadings, evidence, hearings and management attention over a longer course. The comparison is not simply the fee for one day against the next court appearance. It includes the value of executive time and the effect of uncertainty on trading decisions.
A defendant considering litigation risk may also need to understand security for costs in a commercial claim. That application does not decide the merits, but it can affect cash flow and the procedural timetable. Mediation may address costs already incurred, future costs and the underlying claim together.
Not every case settles. A failed mediation can still narrow figures, documents or issues, but that benefit should not be overstated. Set a proportionate preparation budget, choose the participants carefully and keep the court timetable visible. The civil and commercial law practice sets out the chambers' broader work in business disputes.
Frequently asked questions
Should I mediate before suing a business in Mauritius?
Often, yes, if delay will not endanger assets, evidence or an urgent contractual right. A focused proposal can test settlement while preserving the option to sue, but limitation and notice issues must first be checked. This is general information; the contract and the immediate risk determine what should be done in a particular dispute.
Is what I say in commercial mediation confidential?
The mediation agreement should state who may receive the material, what is confidential and which disclosures remain permitted or required. Do not assume that confidentiality is absolute, especially where law, regulation, insurance or enforcement requires disclosure. This is general information; advice on the actual protocol should be taken before sensitive material is exchanged.
What happens if we agree a settlement at mediation but the other side defaults?
The available response depends on the signed settlement, any consent order and the obligation that was broken. Clear payment dates, releases, security and default provisions make enforcement less uncertain. This is general information; a barrister should review the executed terms and the default before proceedings are taken.
